Chelmsford Mountaineering Club Constitution

1.NAME The name of the Club shall be the Chelmsford Mountaineering Club.

2.OBJECT The Chelmsford Mountaineering Club (hereinafter referred to as CMC) has the following object: To provide an association for those in the Chelmsford area with an interest in mountaineering pursuits.

3.MEMBERSHIP Persons of 18 years old and over shall be eligible to apply for Full Membership of CMC.
Persons under 18 years old shall be eligible to apply for Junior Membership if nominated by an existing Full Member.
Persons wishing to take part in a single activity are eligible to apply to join as a guest member for the duration of that activity.

4.ADMISSION OF MEMBERS Candidates for membership shall complete an application form and pay the current rate of subscription. Acceptance of a candidate's application shall be evidenced by a membership card issued by, or on behalf of, the Committee, valid for the current CMC year as defined in Clause 15.

5.ADMINISTRATION The affairs of CMC shall be administered by a Committee of elected officers.

6.OFFICERS The elected officers shall be:
The Chairman
The Secretary
The Treasurer.
Officers posts may only be held by Full Members of CMC.
CMC shall indemnify the officers for the time being, and any former officers of CMC, in respect of all costs and liabilities arising from or related to any claims made against the said persons in their capacity as officers, or former officers of CMC.

7.ELECTION OF OFFICERS All persons standing for election must be Full Members and must be nominated by two other Full Members of CMC. Election of officers shall be held at the AGM. Elected officers will have tenure until the AGM next following or such earlier date as may be determined by their resignation or inability to continue in office. Such earlier determination of office shall create a ‘casual vacancy’

8.CASUAL VACANCIES Appointments to fill casual vacancies for the posts of elected officers may be made by the committee and persons so appointed shall hold office until the next AGM.

9.ANNUAL GENERAL MEETING The AGM of CMC shall be held within two months from the end of the financial year as defined in Clause 15.
The agenda shall include:,br /> Reports from officers on previous year's activities.
Statement of accounts.
Election of officers.
Setting of subscription rate for forthcoming year.br /> Such other motions as have been submitted to the Secretary at least 14 days in advance of the meeting.

10.EXTRAORDINARY GENERAL MEETING The Committee shall have the power to summon an EGM and shall call an EGM on receipt of notice in writing from not less than five members requesting that such be called and specifying the business to be transacted.

11.NOTICE OF GENERAL MEETING At least 14 days notice shall be given of a General Meeting and the notice convening the Meeting shall specify the business to be transacted.

12.THE CHAIR The Chair shall be taken by the Chairman or in his absence by an elected officer.

13.VOTING AT GENERAL MEETING Full Members attending shall have a single vote on each motion. Voting will be a simple show of hands. In the event of an equality of votes on a motion, the Chair shall have a casting vote.

Junior Members will not have voting rights. However, the Chairman may ask Junior members for a show of hands on a motion prior to inviting a vote from Full Members

14.SUBSCRIPTIONS The subscription rate for members shall be as recommended by the Committee from time to time and approved by a General Meeting of CMC.

15.FINANCE The CMC year, for the purposes of finance and membership shall be deemed to begin on 1 January. A statement of account made up to and including 31 December shall be presented at the AGM.

16.DISSOLUTION In the event of dissolution of CMC the balance of the funds and other assets shall be donated to a recognised mountain rescue fund.

17.AMENDMENTS TO THE CONSTITUTION No amendments to this constitution shall be made unless submitted to a General Meeting of CMC and agreed by a two thirds majority at that meeting.

18.JUNIOR MEMBERS Junior Members may only take part in club activities if accompanied by a Full Member acting as their guardian for the duration of the activity. The Full Member shall sign a declaration of guardianship valid for the duration of the specified activity.
